1. Introduction

These Terms and Conditions ("Terms") constitute a legally binding agreement between you, the teacher or educator using the Services ("you" or "User"), and AIME52 Ltd, trading as aime, a company registered in England and Wales under company number 16934337 with its registered office at Isabella House, 24-26 Regents Place, Birmingham, B1 3NJ, United Kingdom ("aime," "we," "our," or "us"). These Terms govern your access to and use of aime's websites, applications, and related offerings (collectively, the "Services"). By creating an account, subscribing to a plan, or otherwise using the Services, you acknowledge that you have read and understood these Terms and that you agree to be bound by them. If you do not accept these Terms, you may not access or use the Services.

2. Eligibility

The Services are intended solely for teachers and educators who are eighteen years of age or older. By registering for an account, you represent and warrant that you meet this eligibility requirement. The Services may not be used by minors, by students, or by any person under the age of eighteen, and aime does not knowingly permit or authorise such use.

3. Accounts

To use the Services, you must create an account and provide accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted under your account, whether or not authorised by you. If you choose to access the Services using third-party single sign-on authentication such as Google or Microsoft, authentication will be managed by those providers, and aime will receive only limited profile information, such as your name and email address, for the purpose of establishing your account. You must notify aime immediately if you become aware of any unauthorised use of your account.

4. Subscriptions and Payments

Access to the Services is provided on a subscription basis. Subscriptions may be purchased on a monthly or annual basis. Subscription fees are payable in advance and are processed securely by Stripe, Inc. or its affiliates. aime does not store or retain your payment card information; such information is collected and processed directly by Stripe in accordance with its own terms and privacy policy. Subscriptions renew automatically at the end of each billing cycle unless cancelled in accordance with Section 6 of these Terms. All fees are stated exclusive of applicable taxes, which may be added in accordance with the law of your jurisdiction.

5. Free Trial

aime may, at its discretion, provide new Users with access to the Services on a free trial basis for a limited period, typically seven days. At the conclusion of the trial period, unless cancelled before its expiry, the trial subscription will automatically convert into a paid subscription at the then-current applicable rate. Each User is entitled to only one free trial, and aime reserves the right to revoke access in cases of abuse.

6. Cancellation and Refunds

You may cancel your subscription at any time through your account settings. If you cancel a monthly subscription, access to the Services will continue until the end of the current billing cycle, after which your subscription will not renew. No refunds or credits will be issued for partial months.

If you cancel an annual subscription within fourteen days of purchase, you will receive a full refund of amounts paid. Beyond this fourteen-day period, no refunds will be granted, and access will continue until the end of the annual subscription term. Refunds that are due will be processed within ten business days of approval.

7. Acceptable Use and Fair Usage Policy

The Services are provided for the personal, individual use of teachers only. Accounts may not be shared between multiple users, resold, sublicensed, or used for commercial purposes beyond the scope of individual teaching without aime's prior written consent. You agree not to use the Services to engage in unlawful, harmful, or abusive activity, including the upload of prohibited content or attempts to interfere with the proper functioning of the Services.

aime enforces a Fair Usage Policy. While reasonable and active use of the Services is encouraged, excessive use that exceeds normal patterns of activity for an individual teacher, or automated use that degrades system stability, may result in throttling of your account, suspension of access, or permanent termination. The determination of excessive or abusive use shall be made by aime at its sole discretion.

You must not use the Services to upload or process student personally identifiable information or to attempt to use the Services on behalf of persons under eighteen years of age.

8. Third-Party Services and AI Outputs

Certain elements of the Services are provided in cooperation with third parties. All payment transactions are handled by Stripe, and your use of Stripe is subject to its terms and conditions. Identity verification, where required, may be performed by Sumsub. Identity documentation is provided directly to Sumsub, which processes such data in accordance with its own privacy policy; aime does not view or store these documents. If you authenticate using Google or Microsoft single sign-on, your use of those services is governed by their respective terms.

The Services also incorporate functionality powered by third-party large language models and generative artificial intelligence systems ("LLMs" or "GenAI"). You acknowledge and agree that aime does not create, curate, or control the outputs generated by such systems, that outputs are generated on the basis of probabilistic modelling and data sets not curated by aime, and that such outputs may contain inaccuracies, omissions, biases, offensive material, or content that is otherwise inappropriate or unsuitable for educational use. aime makes no representation and provides no warranty, express or implied, as to the accuracy, legality, reliability, or fitness for any purpose of any outputs produced by third-party LLMs.

You further acknowledge and agree that aime shall not be liable for any losses, damages, costs, or claims arising out of or in connection with your reliance upon or use of outputs generated by LLMs, and that you assume full responsibility for reviewing, verifying, and validating such outputs before relying on them in any educational, professional, or personal context. The Services are designed to support, not replace, professional judgment, and you remain solely responsible for ensuring that lesson materials, pacing plans, assessments, and any other educational content created or delivered through the Services meet applicable curriculum requirements, pedagogical standards, and safeguarding obligations. To the fullest extent permitted by law, all risk relating to reliance upon content generated by LLMs rests with you as the User.

9. Intellectual Property

aime retains all rights, title, and interest in and to the Services, including all associated software, content, trademarks, and branding. Nothing in these Terms grants you ownership of or rights in the Services except as expressly set forth herein. You retain ownership of the lesson content, pacing notes, and reflections you create using the Services. By creating such content, you grant aime a limited, non-exclusive, royalty-free licence to store and process your content solely for the purpose of delivering the Services to you.

10. Limitation of Liability

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, aime disclaims all warranties, whether express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by applicable law, aime shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, loss of data, business interruption, or reputational harm, arising out of or in connection with your use of the Services. In no event shall aime's aggregate liability for all claims exceed the total subscription fees paid by you in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless aime, its officers, employees, contractors, and affiliates from and against any claims, damages, liabilities, costs, and expenses, including reasonable legal fees, arising out of or in connection with your misuse of the Services, your violation of these Terms, or your reliance on outputs generated by third-party LLMs.

12. Termination

aime may suspend or terminate your account and access to the Services at any time if you breach these Terms, misuse the Services, or engage in conduct that aime determines, in its reasonable discretion, to be harmful to its operations or to other users. Upon termination, your right to access and use the Services shall immediately cease. You may terminate your subscription at any time by cancelling in accordance with Section 6.

13. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of England and Wales. You and aime agree to submit to the exclusive jurisdiction of the courts of England and Wales for the resolution of any dispute or claim arising out of or in connection with these Terms.

14. Changes to Terms

aime reserves the right to amend these Terms from time to time. Any material changes will be communicated by email or through an in-application notification. Your continued use of the Services following the effective date of any changes will constitute your acceptance of the revised Terms.

Cancelling your subscription

You have a legal right to cancel within 14 days of your subscription starting. You can cancel by any clear means — a message from your account, or an email telling us you wish to cancel, is enough. A model cancellation form is available below if you prefer to use one, but you do not have to.
